Introduction

Welcome to Iron Funnel, the easiest to use Marketing Automation Platform. These Terms and Conditions govern your use of the Iron Funnel platform, including any services or features available through the platform. By using Iron Funnel, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you may not use the platform.

License and Use

Iron Funnel grants you a non-exclusive, non-transferable, revocable license to use the platform for your own personal or business purposes. You may not use the platform for any illegal or unauthorized purpose. You are responsible for maintaining the security of your Iron Funnel account and password, and for any activities that occur under your account.

The Iron Funnel platform and all content and materials contained within it, including but not limited to text, graphics, logos, images, and software, are the property of Iron Funnel and its licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works based on any content or materials from the platform without the express written consent of Iron Funnel.

Fees and Payment

Iron Funnel may charge fees for certain features or services available through the platform. Any such fees will be clearly communicated to you prior to your use of the feature or service. You are responsible for paying all fees associated with your use of Iron Funnel, and any applicable taxes.

Disclaimer of Warranties

Iron Funnel provides the platform "as is" and without warranty of any kind, whether express, implied, or statutory, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. Iron Funnel does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

Iron Funnel shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or use, arising out of or in connection with your use of the platform. Iron Funnel's total liability to you for any and all claims arising out of or in connection with these Terms and Conditions shall not exceed the amount of fees paid by you to Iron Funnel in the twelve (12) months prior to the claim.

Modification of Terms and Conditions Iron Funnel reserves the right to modify these Terms and Conditions at any time without prior notice to its users. By continuing to use the Iron Funnel platform, you agree to be bound by the most current version of the Terms and Conditions, which can be found on the Iron Funnel website. Indemnification

You agree to indemnify and hold Iron Funnel, its affiliates, officers, directors, employees, and agents, harmless from any and all claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Iron Funnel platform or any violation of these Terms and Conditions.

Termination

Iron Funnel may terminate these Terms and Conditions and your access to the platform at any time, with or without cause. Upon termination, you must immediately cease all use of the Iron Funnel platform.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of Uruguay, without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with these Terms of Services shall be resolved exclusively through binding arbitration in accordance with the rules of Uruguay. The arbitration shall be conducted in Spanish in the city of Montevideo, and the award of the arbitrator shall be final and binding upon the parties.

Miscellaneous

These Terms and Conditions constitute the entire agreement between you and Iron Funnel regarding your use of the platform and supersede all prior agreements and understandings, whether written or oral. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Iron Funnel's failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. You may not assign these Terms and Conditions, or any rights or obligations hereunder, without Iron Funnel's prior written consent.
